Kane Greens Bylaws v1.0

This is version 1.0 of the bylaws for the Kane County Green Party. It was ratified on December 8 by all the founding members of the local, who are listed as the authors of the document.

Article I - Name and Purpose

A. Name

The name of this organization is the Kane County Green Party (KCGP). The KCGP is a local organization of the Illinois Green Party (IGP).

B. Purpose

The purpose of the Kane County Green Party is to advance the purpose and mission of the Illinois Green Party in Kane County, in accordance with the Ten Key Values of the Green Party. Our mission is to work towards fairness and social cooperation in an informed community fostering environmental protection, respect for diversity, responsible corporate behavior, responsible taxation and spending, and peace through justice.

Article II - Membership

A. Eligibility

Any member of the IGP who resides in Kane County may be a member of the Kane County Green Party. To enroll as a member a person must submit a KCGP application form.

B. Dues

  1. All members must pay dues or request a dues waiver based on need. These dues are in addition to any charged by the IGP.
  2. Levels of dues shall be established by the Board of Directors.

C. Good standing

A member in good standing is one who has paid all outstanding dues and whose current contact information is on file with the KCGP.

Article III - Membership meetings

A. Significance

The highest decision-making body shall be the membership meeting of the Kane County Green Party. All decisions made at a membership meeting are binding upon the Board of Directors, officers, and commitees of the KCGP.

B. Logistics

  1. Meeting times

    The KCGP shall have at least one membership meeting per calendar year. The annual meeting shall be in March.

  2. Advance notice

    Notice shall be sent by mail (US mail, e-mail, or fax) at least 30 days prior to the membership meeting.

  3. Participation

    Decisions at membership meetings will be made by members in good standing of the KCGP who have been active in the local for at least three months prior to the membership meeting.

  4. Decision process

    Decisions will be made by consensus or, if a consensus cannot be reached, by a 2/3 vote of participating members present.

  5. Binding decisions

    Binding decisions are made only at membership meetings and board meetings, in accordance with these bylaws.

C. Duties

  1. Bylaws

    These bylaws may only be modified by the members in good standing of the KCGP, and only at a membership meeting.

  2. Other

    The membership can conduct any other business at the membership meeting.

Article IV - Directors

A. Number

The Kane County Green Party shall have five directors and collectively they shall be known as the Board of Directors (board).

B. Qualifications

Directors shall be members of good standing in the KCGP.

C. Powers

The board will conduct or direct all affairs and activities of the KCGP, subject to the powers granted to the membership.

  1. The board may form ad hoc committees as it so chooses.
  2. The board may authorize expenditures from the KCGP treasury.
  3. The board may authorize any statement to be made on behalf of the KCGP, as long as such statement is consistent with the Ten Key Values of the Green Party.
  4. In the event of a vacancy on the board, the board may appoint a replacement to serve until the next membership meeting.

D. Duties

  1. Perform duties imposed by law or by these bylaws;
  2. Appoint and remove, and (subject to these bylaws) prescribe the duties of all officers and committees of the KCGP;
  3. Supervise all officers and committees of the KCGP;
  4. Meet as required by these bylaws.

E. Election

The entire board of directors will be elected at the annual membership meeting each year for a term of one year.

F. Procedures

  1. Number of meetings

The board shall meet at least 9 times a year.

  1. Quorum

Board meetings require a quorum of a majority of the board members.

  1. Decision process

Board decisions will be made by consensus or, failing that, a 2/3 vote of the board members present.

Article V - Officers

A. Positions

The officers of the Kane County Green Party shall be a Chairperson, a Treasurer, a Secretary, and a Representative to the IGP.

B. Qualifications

Each officer shall be a board member of the KCGP. A board member may hold multiple offices at once.

C. Duties

All Officers shall perform the duties prescribed by these bylaws, and such duties as may be required by resolutions of the membership or board.

  1. The Chairperson shall:
  1. Be the Executive Officer of the KCGP in matters concerning its administration and shall be the official representative of the KCGP;
  2. Preside at the membership meeting and at all meetings of the Board;
  3. Be an ex-officio member of all working groups.
  1. The Treasurer shall:
  1. Maintain records of the financial status of the KCGP, and inform the membershp of that status;
  2. Prepare and submit any financial reports required of the KCGP.
  1. The Secretary shall:
  1. Attend to all general correspondence of the KCGP;
  2. Keep minutes of all board and membership meetings, and make those minutes available to the membership;
  3. Maintain and preserve records of the organization, including the membership roster.
  1. The Representative to the IGP shall:
  1. Serve as the voting representative of the KCGP in the IGP Coordinating Committee.
  2. Participate in regular IGP Coordinating Committee conference calls.
  3. Attend when the ICP Coordinating Committee meets in person.
